## 1. Acceptance of Terms
By accessing or using Astra ("Astra Catalyst," "Astra Ai," "the App," "the Service"), a web application operated by Spider Branch Tech ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.
These Terms apply to all users of Astra, including but not limited to users who connect their Google accounts or Google Workspace accounts to the Service.

## 2. Description of the Service
Astra is a persistent AI companion that integrates with Google account services — including Gmail and Google Workspace — and with Discord, to provide productivity, conversational, and community-management features to users. Astra is accessible through Spider Branch Tech's web application, desktop application, and as a Discord application ("Astra's Discord Bot") that can be added to Discord servers ("Guilds"). The specific features available to you may vary depending on your plan, account configuration, and the platform through which you access the Service.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

## 3. Eligibility
You must be at least 13 years of age to use Astra. By using the Service, you represent and warrant that:
- You are at least 13 years old
- You have the legal capacity to enter into a binding agreement
- Your use of Astra complies with all applicable laws and regulations in your jurisdiction
If you are using Astra on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

## 4. Account Registration and Google OAuth
### 4.1 Account Creation
To use Astra, you must sign in using your Google account via Google OAuth 2.0. By connecting your Google account, you authorize Astra to access certain Google account data as described in our [Privacy Policy](https://www.spiderbranchtech.com/privacy).
### 4.2 Account Responsibility
You are responsible for:
- Maintaining the security of your Google account credentials
- All activity that occurs under your Astra account
- Notifying us immediately at support@spiderbranchtech.com if you suspect unauthorized access to your account
### 4.3 Revoking Access
You may revoke Astra's access to your Google account at any time through your [Google Account permissions page](https://myaccount.google.com/permissions). Revoking access will disable Google-connected features within Astra.
### 4.4 Discord Account Linking
You may optionally link your Astra account to your Discord account. Linking authorizes Astra to associate your Discord user ID and Discord display name with your Astra account, and to apply your existing Astra account — including saved memory and preferences — when you interact with Astra through Discord. See Section 10 for how Astra handles your data differently depending on whether your account is linked.

## 5. Acceptable Use
You agree to use Astra only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates applicable local, national, or international law or regulation
- Use the Service to transmit, send, or store any unlawful, harmful, defamatory, obscene, or otherwise objectionable content
- Attempt to gain unauthorized access to any part of the Service, its servers, or any systems or networks connected to the Service
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
- Use automated scripts, bots, or other means to access the Service in a manner that exceeds normal usage or places unreasonable load on our infrastructure
- Circumvent or attempt to circumvent any security, access control, or authentication mechanism of the Service
- Use the Service to harvest, scrape, or collect data about other users without their consent
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Use the Service in any manner that could damage, disable, overburden, or impair the Service
- Use Astra's Discord Bot to harass, spam, or send abusive or unsolicited messages to other members of a Guild
- Misuse proactive or scheduled messaging features to send messages unrelated to the Service's intended functionality, or to a Guild or user who has not opted in to receive them
- Add, configure, or grant permissions to Astra's Discord Bot within a Guild without the authority to do so (for example, without being an administrator of that server)
- Use Astra's Discord Bot in a manner that violates Discord's Terms of Service, Developer Policy, or Community Guidelines

## 6. Google API Services
Astra integrates with Google API Services, including Gmail and Google Workspace APIs. Your use of these integrations is subject to:

By using Astra's Google integrations, you represent that your use complies with all applicable Google policies. Spider Branch Tech is not responsible for any changes Google makes to its APIs, services, or policies that may affect the functionality of Astra.
### 6.1 Discord API Services
Astra integrates with the Discord API to provide Astra's Discord Bot. Your use of this integration is subject to Discord's Terms of Service, Discord's Developer Policy and Developer Terms of Service, and Discord's Community Guidelines. By using Astra's Discord Bot, you represent that your use complies with all applicable Discord policies, and that you have the necessary permissions — such as being a server administrator — to add, configure, or grant Astra's Discord Bot access within any Guild you manage. Spider Branch Tech is not responsible for any changes Discord makes to its API, services, or policies that may affect the functionality of Astra's Discord Bot.

## 7. Intellectual Property
### 7.1 Our Property
Astra, including its design, code, features, logos, and content created by Spider Branch Tech, is the exclusive property of Spider Branch Tech and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to the Service beyond the limited license to use it as described herein.
### 7.2 Your Content
You retain ownership of any content, data, or materials you submit, upload, or create through Astra ("Your Content"). By using the Service, you grant Spider Branch Tech a limited, non-exclusive, royalty-free license to access, process, and store Your Content solely as necessary to provide the Service to you.
We do not claim ownership of Your Content, and we will not use it for any purpose beyond operating and improving the Service.
### 7.3 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without any obligation or compensation to you.

## 8. Privacy
### 8.1 General
Your use of Astra is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.
### 8.2 European Economic Area, United Kingdom, and Switzerland
If you are located in the European Economic Area, the United Kingdom, or Switzerland, Astra processes personal data about you in accordance with the General Data Protection Regulation (GDPR) and, where applicable, the UK GDPR and Swiss data protection law. You have rights with respect to your personal data, including the right to access, correct, delete, or restrict processing of your data, and the right to data portability. Details on how to exercise these rights are set out in our Privacy Policy.
### 8.3 California Residents
The California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), may apply to certain businesses' processing of personal information about California residents. Regardless of whether the CCPA/CPRA formally applies to Spider Branch Tech at a given time, we intend to honor the rights it describes for California residents who use the Service — including the right to know what personal information we collect, the right to request deletion of that information, and the right to non-discrimination for exercising these rights. ## 9. Third-Party Services
Astra may integrate with or contain links to third-party services, websites, or applications. We do not control and are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk and subject to the terms and policies of those third parties.

## 10. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Spider Branch Tech does not warrant that:
- The Service will be uninterrupted, error-free, or secure
- Any defects or errors in the Service will be corrected
- The Service or any content obtained through it is accurate, complete, or reliable
- The Service will meet your specific requirements or expectations
### 10.1 How Astra Processes Discord Messages
When you interact with Astra's Discord Bot — by sending a direct message, mentioning Astra, replying to one of Astra's messages, or otherwise triggering a response — Astra processes the content of that message to generate a reply. If you have linked your Discord account (Section 4.4), that exchange may be saved to your Astra memory the same way a web or desktop conversation would be. If you have not linked your account, your message is processed only to generate that single reply and is not retained afterward.
### 10.2 Shared and Public Contexts
Messages you send to Astra's Discord Bot within a Guild channel, as opposed to a direct message, may be visible to other members of that Guild. Astra is not a private, one-on-one service in that context, and you should not share information through a Guild channel that you would not want other members to see.
### 10.3 Server (Guild) Administrator Data
A Discord server administrator who configures Astra's Discord Bot for their Guild may provide additional information for Astra to use within that Guild, including a designated welcome channel, a list of active channels, frequently-asked-question entries, and event or roster information submitted by Guild members. Administrators are responsible for ensuring they have the right to submit this information.
### 10.4 Direct Messages and Proactive Notifications
Astra will not send you unsolicited direct messages through Discord unless you have opted in to receive them. You may opt out of proactive or scheduled messages at any time using the commands provided within Astra's Discord Bot.
### 10.5 Removing Astra's Discord Bot
A Guild administrator may remove Astra's Discord Bot from their server at any time through Discord's own server settings. Removing the bot does not automatically delete data already associated with individual linked Astra accounts; see our Privacy Policy for how to request deletion of your account data.

## 11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPIDER BRANCH TECH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF DATA, REVENUE, PROFITS, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL SPIDER BRANCH TECH'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SPIDER BRANCH TECH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

## 12. Indemnification
You agree to indemnify, defend, and hold harmless Spider Branch Tech and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including Google's terms and policies
- Any content you submit or transmit through the Service

## 13. Termination
### 13.1 By You
You may stop using Astra at any time. You may also revoke Google account access through your Google Account settings.
### 13.2 By Us
We reserve the right to suspend or terminate your access to Astra at our sole discretion, with or without notice, for any reason — including if we reasonably believe you have violated these Terms or applicable law.
### 13.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — shall survive.

## 14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
Any dispute arising out of or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute is not resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Texas.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

## 15. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page and, where appropriate, notify you by email or through the App. Your continued use of Astra after any changes constitutes your acceptance of the updated Terms.

## 16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

## 17. Entire Agreement
These Terms, together with our [Privacy Policy](https://www.spiderbranchtech.com/privacy), constitute the entire agreement between you and Spider Branch Tech regarding your use of Astra and supersede all prior agreements, understandings, or representations relating to the Service.
